    • Ownership is a crucial aspect of entity management and administration. ViewPoint Administrator allows an unlimited number of share capital classes of any currency or no par value. By segregating capital and member transactions with transaction dates and effective dates the Shares functionality in ViewPoint works the way you do by mirroring the statutory processes of share management. More complex or less frequent share transactions are also completely covered including capital changes, redemptions, calls, rights issues, bonus issues, etc.
    • In addition to recording the Share capital and member details ViewPoint Administrator also produces the associated documentation relating to the shares including share certificates, statutory forms, stock transfer forms, minutes / resolutions, even the Declaration of Trust.

    • It is vital to bona fide management that both past and current officers and the details of their tenure are accurate. ViewPoint Administrator follows the statutory process from pre-incorporation acceptance to resignation in the methodology of recording this information. The information recorded for both past and present officers includes officer type, appointment date, resignation date, title, key powers, rotation dates, etc.
    • ViewPoint produces all the documentation relating to the appointment and resignation of officers from the entity including statutory returns / filings, acceptance letters, letters of resignation, minutes and resolutions.
    • In addition to statutory officers other third parties connected to the entity e.g. Investment Advisor, Property Agent, Custodian, Accountant, Lawyer, Insurance Agent etc. can also be recorded with the same details of the appointment as for statutory officers.

    • The bank accounts of managed entities can be recorded to ensure that payment instructions prepared in respect of a managed entity always contain the correct account information. The details held include account number, SWIFT code, Sort Code / IBAN Number, Bank Branch / Relationship Manager, account opening date, type and name of account, currency, signing arrangements
    • The signatories of each bank account are held together with the individual's signatory group. There is also a Copy feature to copy the signatory structure from one bank account to another bank account to avoid duplicating of data entry.

    • It is common in the entity management sector that a single person or address may be linked to many other records e.g. an individual may act as a director on hundreds of entities, a single address may be the registered office address for thousands of entities.
      A change in the Director's personal details, the replacement of a Director, or a change in Registered Office address can create a significant amount of administrative work in undertaking the change, preparation of minutes, statutory forms, supplemental documents such as registers, letter of acceptance / resignation. The ViewPoint Administrator Global Change feature is fully parameterised to globally update the database of the respective changes, produces all the necessary documentation, updates the 'To-Do List' to remind users to ensure that the appropriate documents are completed and filed - potentially days of work completed in minutes.
    • In addition to the Global Change feature, if the Compliance information or Statutory related details for a specific record are changed, the user will be prompted if the record is used elsewhere in ViewPoint and be given the option to apply the change to all related records.

    • The commonly used statutory forms of 20 jurisdictions are included and updated whenever the format is changed by the local authorities.
    • In addition to the jurisdiction specific forms are large number of general templates e.g. minutes, resolution, share certificates, letters of resignation etc. are also included.
    • Correspondence templates (e.g. letter and fax) templates are also available in a skeletal format, which can be easily customised with body text added. These templates can be automatically populated with system information such as letterhead details – Name, address, telephone number, directors names / nationalities etc.
    • Using event link technology the templates are automatically prompted when specific events are undertaken e.g. Directors resignation could prompt with a statutory form, a letter of resignation, a directors minute and or directors resolution. The forms prompted could be jurisdiction specific, general or a combination of both.
    • To ensure that statutory . legal documentation is not missed the users are automatically prompted with the linked template on updating the system.
    • Prompted documents can be declined, printed immediately or stored for batch printing.
    • When generating a directors minute the user is prompted with a wizard to confirm which of the appointed directors were / will be present, who acted as / is to act as chairperson and who acted / is to act as secretary of the meeting.
